Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the website, applications, and services provided by reconosint. (“reconosint,” “we,” or “our”). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Account and eligibility

You must be at least 18 years old to use the Service. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must provide accurate registration information and keep it up to date.

2. Acceptable use and prohibited uses

The Service produces AI-generated research about target companies and the publicly listed individuals who work at those companies. The intended use is business development, sales, partnerships, and competitive intelligence.

Prohibited use — legally protected decisions. You agree that you willnot use the Service, or any output of the Service, to make or to materially inform decisions about:

• Employment, including hiring, promotion, demotion, discipline, termination, compensation, scheduling, or task assignment;
• Credit, lending, or financial-services underwriting;
• Insurance underwriting, pricing, or coverage;
• Housing, including rental, sale, or financing decisions;
• Education, including admissions, scholarships, or discipline;
• Healthcare, including diagnosis, treatment, or insurance authorization; or
• Any other determination that is regulated under federal, state, or local law as affecting a protected class or fundamental right.

You also agree not to: (a) attempt to identify, target, or surveil any natural person for purposes other than legitimate B2B outreach; (b) re-publish or resell Service output as a standalone data product; (c) use the Service to violate any third party's rights, including intellectual property, publicity, or privacy rights; (d) interfere with the Service's operation; (e) attempt to reverse-engineer, scrape, or extract the underlying data corpus; or (f) use the Service in violation of any applicable law.

3. AI-generated output

Output from the Service is generated by large language models and other automated systems. It may be inaccurate, incomplete, or out of date. You are responsible for independently verifying any output before relying on it for any business decision. The Service is not a substitute for professional advice, due diligence, or human judgment.

4. Payments and refunds

Paid plans are billed in advance. Stripe is our payment processor. You may cancel at any time through the Settings page; cancellation takes effect at the end of the current billing period. Refunds are at our discretion except where required by law.

5. Intellectual property

The Service, including all software, design, and aggregated content, is owned by reconosint and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You retain ownership of the inputs you provide; we retain ownership of the Service itself and of aggregated, de-identified usage data.

6. Termination

You may stop using the Service and delete your account at any time through the Settings page. We may suspend or terminate your account if we reasonably believe you have violated these Terms or if continued service would expose us to legal risk.

7. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECONOSINT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR COMPLETENESS OF OUTPUT.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECONOSINT'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO RECONOSINT IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD 100. RECONOSINT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

9. Your indemnification of reconosint

You agree to defend, indemnify, and hold harmless reconosint and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service, (b) your violation of these Terms (including the prohibited-use clauses above), or (c) your violation of any third-party right.

10. Governing law and dispute resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of those courts.

11. Changes to the Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date above and, for material changes, notify account holders by email. Continued use of the Service after a change indicates your acceptance of the updated Terms.
